Terms of Service
These terms are an agreement between [STRUCENT LEGAL ENTITY NAME + ABN] (“Strucent”, “we”, “us”) and the business that creates a Strucent workspace (“you”, the “customer”). By creating an account or using Strucent you agree to them.

1. The service
Strucent is a cloud quality management system (QMS) for fabrication workshops. It provides quality registers (such as weld registers, inspection and test records and non-conformance reports), personnel and qualification management, document control, forms, reporting and related features, delivered as a subscription over the internet.
2. Accounts and responsibilities
- You must provide accurate account information and keep your sign-in credentials secure. You are responsible for activity under your workspace and its user accounts.
- Workspace administrators control which users can access the workspace and what they can do. Removing a person’s access when they leave your business is your responsibility.
- Tell us promptly at support@strucent.com if you suspect unauthorised access to your workspace.
3. Acceptable use
You must not:
- use the service to break the law or infringe anyone’s rights;
- attempt to access another customer’s data or probe, scan or test the vulnerability of the service without our written permission;
- upload malicious code or content you do not have the right to store;
- resell, sublicense or provide the service to third parties except to your own personnel, contractors and clients in the ordinary use of your workspace;
- use the service in a way that materially degrades it for other customers (for example automated bulk traffic outside the published API).
We may suspend accounts that breach this section, acting reasonably.
4. Your data
You own the data you and your users put into your workspace — registers, records, documents, files and everything derived from them. We claim no ownership of it. You grant us a licence to host, process, back up and display that data only as needed to provide the service.
We handle personal information as described in our Privacy Policy, and we use the third-party providers listed at /legal/subprocessors. You are responsible for having the right to store the data you store (including your personnel’s information) and for its accuracy.
Strucent is a record-keeping tool. It does not provide engineering, welding-code or regulatory compliance advice, and storing a record in Strucent does not by itself make you compliant with any standard or law.
5. Subscriptions and payment
Paid plans are billed in advance by subscription. Card payments are processed by Stripe. Fees are non-refundable except where the law requires otherwise or these terms say so. We will give you at least 30 days’ notice of price changes, taking effect from your next billing period.
6. Availability and support
We aim to keep the service available at all times but do not guarantee uninterrupted or error-free operation. Planned maintenance will be scheduled outside Australian business hours where practicable. The service is provided “as is” to the extent the law allows; any conditions and guarantees that cannot be excluded (including under the Australian Consumer Law) are not excluded.
7. Liability
[LIABILITY LIMITATION — LAWYER TO DRAFT. Intended shape: each party’s aggregate liability capped at fees paid in the prior 12 months; no liability for indirect or consequential loss; carve-outs for data-protection breaches, wilful misconduct and amounts that cannot be limited under the Australian Consumer Law; ACL-mandated remedies preserved.]
8. Termination, export and deletion
- You may cancel your subscription at any time, effective at the end of the current billing period.
- We may terminate for material breach that is not remedied within 14 days of written notice, or immediately for serious misuse under section 3.
- After termination you have 30 days to export your workspace data. On request we will provide a complete export of your records and files, delivered by secure download.
- After the export window, your workspace enters a 30-day soft-delete period and is then permanently deleted from our databases and file storage, except for records we must keep by law (such as billing records) and security logs.
9. Changes to the service and these terms
We may improve or change features over time. If we make a material adverse change to these terms or the service, we will notify workspace administrators at least 30 days before it takes effect; continuing to use the service after that is acceptance of the change.
10. Governing law
[GOVERNING LAW — CONFIRM WITH LAWYER. Intended: these terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria.]
